PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") THOROUGHLY, AS BY INSTALLING, COPYING, USING, OR DISTRIBUTING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS OR DO NOT DESIRE TO BE BOUND BY THIS EULA, PLEASE REFRAIN FROM INSTALLING, COPYING, USING, OR DISTRIBUTING THE SOFTWARE.

GENERAL:

This End User License Agreement (EULA) regulates the utilization of the Software provided by or on behalf of ionosllc.com. Software, Inc (referred to as "Ionosllc", "we", "us" or "our"). In the context of this EULA, "Software" refers to the application software, along with all its components and any updates, patches, fixes, modifications, and enhancements, including new version releases, whether delivered to you through download, automatically without requiring further consent or action from you, or by other means, as well as all related documentation, files, and materials.

LICENSE GRANT:

Subject to your acceptance and adherence to the terms and conditions outlined in this EULA, ionosllc.com grants you a limited, personal, non-exclusive, non-transferable, and revocable license (without the right to sublicense) to install, utilize, access, display, and operate one copy of the Software on the hard drive or other fixed storage medium of up to three (3) digital processors, computers, or workstations (collectively referred to as "Devices") that you own or control, exclusively for your personal or internal business purposes. To clarify, the aforementioned license cannot be shared or used simultaneously on multiple Devices without acquiring additional licenses from ionosllc.com for each Device that accesses, displays, operates, and/or utilizes the Software.

For the purposes of the aforementioned license grant, with the exception of Software labeled as "free" or "freeware" by ionosllc.com (i.e., Software that does not necessitate the payment of any license fee at any point), the ongoing use of the Software in accordance with Section 2 above following the conclusion of the relevant "trial period" specified by ionosllc.com, without the payment of the required license fee, falls outside the parameters of the aforementioned license and constitutes a breach of this EULA as well as U.S. and international copyright laws.

RESTRICTIONS:

The rights pertaining to the Software outlined above are the sole rights granted to you under this EULA. All rights not explicitly granted to you in the license described in Section 2 above are fully and expressly reserved by us and/or our licensors.

Your license and right to access and utilize the Software are confined to Devices that you own or control. Unless specifically stated in this EULA or for backup or archival purposes allowed by law, you are prohibited from using or creating any additional copies of the Software.

You are not authorized to distribute, transmit, sublicense, tamper with, or attempt to bypass, modify, defeat, or otherwise circumvent the Software's operation. Additionally, you may not alter, adapt, translate, reverse engineer, decompile, disassemble, or otherwise seek to uncover or reveal the Software's source code or its underlying programming or architecture.

PROPRIETARY RIGHTS:

ionosllc.com possesses all rights, titles, and interests in the Software, including, but not limited to, all associated intellectual and proprietary rights. Except for the limited license granted to you in this EULA, nothing herein shall be interpreted as transferring, conveying, impairing, or otherwise negatively impacting Ionos LLC's ownership or proprietary rights, nor any other information or materials from ionosllc.com, whether tangible or intangible, in any form or medium.

CHANGE IN POLICIES:

ionosllc.com.Software reserve the right to change these policies at any time. While it is not our intention to do so, there may be factors outside of our control that require us to implement changes to our policies.

INSTALLATION POLICY:

Upon making a purchase, you are granted permission to install the software on a maximum of three computers that you personally own and manage. This enables you to install the software on your home computer, your office computer, and your laptop. Quite convenient, isn't it? Additionally, we provide discounts for multiple licenses should you need additional copies.

REFUND POLICY:

We maintain a strict no refund policy for all our software applications and bundles. This policy is in place because we provide free, fully functional trial versions of all our software, enabling you to download and evaluate them prior to making a purchase. These trial versions permit you to assess the software without any risk before you commit to buying. One of the advantages of purchasing from ionosllc.com is that we offer an instant electronic download of the software program via the Customer Care Center. Since we cannot ensure that our software has been completely uninstalled from a system after installation, this measure helps us combat fraudulent activities.

UPGRADE POLICY:

Over the course of more than 10 years in delivering exceptional Web Design and various software products, ionosllc.com has generally provided enhanced versions of the software at no additional cost. We intend to maintain this practice, particularly when a new version primarily includes minor enhancements and corrections. Nevertheless, there will occasionally be new versions that necessitate complete rewrites of the application or its components. This undertaking demands considerable time for research, design, development, and testing. In such cases, ionosllc.com reserves the right to impose a fee for upgrading to the new and improved software version on a case-by-case basis. Given the resources required, we would prefer not to refrain from implementing these enhancements solely for financial reasons; thus, charging a nominal fee for updates is the only feasible solution. If you believe that the new features do not justify the upgrade, you are welcome to continue using your current version. Conversely, if you wish to always utilize the latest and most advanced features and gain access to exclusive Responsive Web Design Applications, we encourage you to join The Responsive Program (launching soon). Ultimately, the decision is entirely yours!

We strongly encourage you to subscribe to our newsletter to stay updated on both minor and major changes to your applications. Additionally, this is typically the most effective method to obtain a 'good deal' on new software as well as new functionality releases.

CROSS PLATFORM LICENSE POLICY:

We provide a variety of programs compatible with both Windows and OS X. Your license is valid solely for the operating system for which it was purchased. Therefore, if you acquired the Windows version, for instance, and now wish to obtain the OS X version, a separate license will be necessary. However, if you are a member of the Responsive Program, you will have the ability to utilize your software on up to three different computers, regardless of the operating system they operate on.

DISCONTINUED PURCHASE POLICY:

As technology on the internet evolves there are times we may need to discontinue a program, theme, graphic etc. When that happens, these are removed from our website and will no longer be accessible through the Customer Care Center. We suggest you always keep local backups of all purchases so that you have them available to you. You may also purchase one of our USB drives loaded with all of your purchased software so you can ensure you have a backup copy if needed.

FONT CONVERSION DISCLAIMER:

Please be informed that certain font vendors prohibit the conversion of their font software programs into alternative formats. Consequently, we advise you to examine the End-User License Agreement for any font software you intend to convert to ensure that you possess the necessary rights to do so.

DATA COLLECTION AND USE:

You hereby consent that Ionos LLC, along with its parent company, subsidiaries, affiliates, and their respective successors and assigns, may gather and utilize specific technical information related to your usage of the Software, which includes, but is not limited to, any information provided in relation to any support or technical services for the Software.

TERMINATION:

We reserve the right to terminate this license and your permission to use the Software at any time for any reason, including if we reasonably suspect that you have not adhered to any term or condition of this EULA. Should this license or your right to use the Software be terminated for any reason, you must cease all use of the Software and either return it to us or destroy the Software along with all copies that are in your possession or under your control. We may request that you certify your compliance with the aforementioned in writing, and you agree to comply with such a request if made.

All provisions of this Agreement that, by their nature, should endure beyond termination shall remain in effect, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

DISCLAIMER OF WARRANTY:

No representations or warranties are made to you in any manner regarding the software or this EULA. To the fullest extent allowed by law, we disclaim all representations and warranties concerning the software and your access to and use of it, whether they are express or implied. This includes, but is not limited to, the implied warranties of merchantability or fitness for a specific purpose, as well as any warranties related to title, non-infringement, and/or those arising from a course of dealing or trade usage. Without limiting the generality of the above, the software is provided to you on an 'as is' and 'as available' basis, and ionosllc.com does not guarantee, warrant, or represent that the software will meet your needs or that your use, operation, or results from using the software will be uninterrupted, complete, reliable, accurate, current, error-free, free from computer viruses, or otherwise secure. You assume all risks associated with downloading, installing, copying, operating, using, and/or distributing the software.

LIMITATIONS OF LIABILITY:

You acknowledge, understand, and agree that to the maximum extent allowed by law, neither ionosllc.com nor its parent company, subsidiaries, affiliates, their respective successors and assigns, officers, directors, employees, agents, licensors, representatives, advertisers, business and promotional partners, operational service providers, suppliers, resellers, and contractors shall be liable for any claim, loss, or damage of any kind, whether direct or indirect. This includes, but is not limited to, any and all compensatory, consequential, incidental, direct, indirect, special, exemplary, or punitive damages arising from any use of the software or in connection with this EULA.

Furthermore, you acknowledge and agree that your sole right and exclusive remedy for any loss or damage related to the software or this EULA, even if you assert that such remedy fails to fulfill its essential purpose, shall be to request that Ionosllc, upon receiving written notice from you, attempt to repair, correct, or replace the software. If, in the sole and absolute discretion of Ionosllc, repair, correction, or replacement is not reasonably commercially practicable, either you or ionosllc.com shall have the right to terminate and cease your use of the software.

Certain jurisdictions may not permit the exclusion of specific warranties or limitations on damages and remedies. Therefore, some of the exclusions and limitations outlined in this EULA may not be applicable to you.

INDEMNIFICATION:

You consent to defend Ionosllc, along with its parent company, subsidiaries, affiliates, and/or their respective successors and assigns, including officers, directors, employees, agents, licensors, representatives, advertisers, business and promotional partners, operational service providers, suppliers, resellers, and contractors (collectively referred to as the “ionosllc.com indemnified parties”). You shall indemnify and hold the ionosllc.com. indemnified parties harmless from any and all claims, demands, and/or actions, as well as any losses, damages, costs, and expenses (which include reasonable attorneys’ fees) arising from any breach or violation of this EULA, infringement, misappropriation, or any infringement of the rights of any third party, noncompliance with any applicable law or regulation, breach or violation of any terms or conditions of your agreement with us, or any use, alteration, or export of the software in connection with this EULA. We reserve the right to take over, at our own expense, the exclusive defense and control of any claims or actions, including all negotiations for settlement or compromise, and you agree to fully cooperate with us upon our request.

EXPORT RESTRICTIONS:

ionosllc.com may be subject to specific export limitations imposed by the United States Government. If you are (a) located in a country where exports from the United States are restricted for anti-terrorism purposes, or a national of such a country, regardless of your location, (b) situated in a country that the United States has embargoed or restricted the export of goods or services to, or a national of such a country, regardless of your location, or (c) an individual or entity that has been barred from engaging in United States export transactions by any agency of the United States Government, you are prohibited from installing, downloading, accessing, using, or licensing our Software. By accepting this License, you affirm and declare to ionosllc.com that (1) you do not meet the criteria outlined in (a), (b), or (c) above, (2) you will not export or reexport the Software to any country, person, or entity that is subject to U.S. export restrictions, including those individuals and entities that meet the criteria specified in (a), (b), or (c) above, and (3) that neither the United States Bureau of Industry and Security nor any other U.S. federal agency has suspended, revoked, or denied your export privileges.

U.S. GOVERNMENT RESTRICTED RIGHTS:

The Software provided under this license is accompanied by ‘RESTRICTED RIGHTS’ that apply to both private and public licenses. Without limiting the above, any use, duplication, modification, reproduction, operation, performance, release, or disclosure of the Software by the U.S. Government is subject to the restrictions outlined in this EULA and as specified in DFARS 227.7202–1(a) and 227.7202–3(a) (1995), DFARS 252.227‑7013 ©(1)(ii)(OCT 1988), FAR 12.212(a)(1995), FAR 52.227–19, or FAR 52.227–14, as applicable. GOVERNING LAW AND INTERPRETATION:

This End User License Agreement (EULA) and any disputes, claims, actions, suits, or other proceedings arising from it shall be governed by and interpreted in accordance with the substantive laws of the State of New York, applicable to contracts that are entirely made and to be performed within the State of New York. You agree to irrevocably submit to the sole and exclusive jurisdiction of the courts of New York State and the Federal courts of the Southern District of New York, located in the City, County, and State of New York. Furthermore, you irrevocably consent to the exercise of personal jurisdiction by such courts and waive any right to argue, claim, or assert that New York is an inconvenient forum. No amendment, modification, waiver, or discharge of any provision of this EULA shall be valid unless it is made in writing and signed by an authorized representative of Ionosllc. The failure or delay by ionosllc.com to exercise any right or enforce any obligation shall not impair or be construed as a waiver or ongoing waiver of that or any other right or power, unless it is made in writing and signed by Ionosllc. If any provision of this EULA is found to be illegal, invalid, or unenforceable, the remaining provisions of this EULA shall remain unaffected and in full force and effect.

You acknowledge that you have read the entire agreement, understand it, recognize that you are bound by it, and agree to fully comply with all of its terms and conditions.
